institutional readiness advisory
A fixed-scope engagement that brings a business to a standard capable of withstanding the diligence and investment committee review it will encounter when approaching institutional investors.
The engagement runs over a defined period, typically four to twelve weeks, calibrated to the fundraising timeline. The work is intensive and precise. The expectations institutional investors apply are rarely made explicit, but they are always applied. Meeting them is not cosmetic. It is the difference between a business that is presentable and one that is prepared.
Scope
The scope is shaped around the business, but typically includes:
Financial model reconstruction to institutional standards
Investor narrative development
Pitch materials refinement
Data room structuring and documentation
Governance and reporting alignment
Capital strategy execution
Depending on the specifics of the engagement, the scope may also extend to management mentoring, investment committee preparation, and further workstreams shaped to the particular requirements of the business.
The outcome is a business that is not merely presentable, but prepared.
Our Approach
Every engagement we take on is shaped around the business in front of us. There is no standard package, no fixed methodology applied uniformly across clients. Scope, sequencing, and structure are calibrated to the specifics of the company, the stage, and the questions that actually matter.
We work as an extension of the leadership team, not as an outside adviser reporting in. The relationship is close, the dialogue is direct, and decisions are made alongside the people accountable for them.
Above all, we prioritise availability. We take on a deliberately limited number of mandates at any given time so that senior attention is never rationed. When a client needs us, we are there, not scheduled into the following week.
-
A retained engagement for companies in the period following an institutional round.
This is the phase in which discipline most commonly erodes. Capital has been secured; attention turns to deployment, hiring, and market moves, often without the strategic rigour that secured the round in the first place. We work alongside the CEO and board during this period on the decisions that set the trajectory of the business over the following eighteen to thirty-six months: capital allocation, executive team structuring and sequencing, investor relationship stewardship, and the ongoing strategic questions that warrant a senior, independent perspective.
The engagement is retained and shaped around the cadence of the leadership team.
-
Strategic restructuring, approached with institutional rigour.
We advise management teams and boards on the material changes a business sometimes needs to make, whether to its capital structure, operating model, corporate perimeter, or the alignment of shareholder interests. The perspective is institutional throughout: we evaluate and design restructurings as they would be assessed by the capital providers, boards, and committees whose confidence the business ultimately requires.
Typical situations include balance sheet recalibration, reorganisation of group structure, carve-outs and divestments, governance reform, and operational restructurings undertaken to restore institutional standing. The work is discreet and shaped entirely by the specifics of the situation.
-
Advisory on the most consequential transaction in a company's life.
The sale of a business warrants more than a process. It warrants a view: on timing, on positioning, on the universe of credible buyers and the strategic logic each is likely to apply, and on the terms that will hold up in the months between handshake and close. We work with founders, boards, and management through the full arc of a transaction, from readiness and preparation through buyer strategy, process design, negotiation, diligence management, and the final stretch where most value is either preserved or quietly conceded.
Our role is to bring institutional rigour and considered judgement to a decision that cannot be revisited.
